Apply Now for our Recruitment Team to review.DUTIESYour duties as the Governance Manager will include:Governance Frameworks: Lead the development, implementation and monitoring of governance frameworks, policies and procedures in line with regulatory requirements, best practice and organisational valuesBoard And Committee Support: Manage Board and Committee meeting cycles, including agenda planning, paper coordination, minute-taking, action tracking and ensuring decisions are accurately recorded and followed throughGovernance Advice: Provide expert advice and support to Board Committees, Chairs, senior leaders, colleagues and Joint Venture partnersRisk And Compliance: Identify and support the management of governance risks, ensuring compliance with relevant legal, regulatory and ethical standardsCompany Secretarial Activity: Maintain statutory company registers, manage Companies House filings and support wider company secretarial and corporate governance mattersGovernance Reviews: Support annual Board and Committee effectiveness reviews, ensuring governance arrangements remain effective and Terms of Reference are maintainedDocument Management: Manage the signing and sealing of documents across the Group, liaising with authorised signatories and internal stakeholdersReporting: Produce accurate governance, compliance and risk reports for senior leadership and the BoardContinuous Improvement: Work with senior stakeholders to improve governance systems, processes and practices in line with feedback and evolving best practiceAnnual Governance Activity: Support the approval process for annual reports and financial statements, as well as the annual AGM programmeCANDIDATE REQUIREMENTSESSENTIALProven experience working in governance within a highly regulated environment or companyProven experience in governance, corporate governance, risk management or compliance within a large or complex organisationStrong experience supporting Boards and Committees, including meeting management, preparing papers, governance advice and high-quality minute-takingStrong understanding of governance frameworks, regulatory requirements and compliance standardsExperience managing statutory registers, Companies House filings and wider company secretarial activitiesExcellent interpersonal and communication skills, with the ability to engage confidently with stakeholders at all levelsStrong attention to detail, particularly when working with governance documentation, reports, records and minutesAbility to manage multiple priorities, anticipate challenges and deliver accurate work to deadlinesStrong commitment to ethical standards, transparency and accountabilityDESIRABLEProfessional qualification in Governance, such as ICSA / CGI, or a similar relevant qualificationKnowledge of housing regulation, housing law and governance requirements within the housing sectorBENEFITS25 days holiday (Plus Bank Holidays) increasing up to 28 days with 3 years of serviceUp to 8% contributory pensionFlexible workingAll permanent and fixed-term employees receive a generous annual allowance of up to £300 to use towards health and lifestyle benefits for both you and your familyThe organisation recognises that some people will only apply for a role if they meet 100% of role requirements.
