Part-Time Contract Attorney (M&A and/or Transactional Real Estate)

Remote | California Licensed Attorney

LHH is assisting a growing organization in its search for a Part-Time Contract Attorney with significant experience handling mergers and acquisitions, transactional real estate matters, or a combination of both practice areas. This opportunity offers the flexibility of a fully remote arrangement while providing meaningful involvement in sophisticated commercial transactions.

This attorney will work closely with business leaders, outside counsel, and internal stakeholders to support strategic transactions, conduct legal analysis, identify and mitigate risk, and assist with transaction execution. The ideal candidate is comfortable operating in a dynamic environment and can provide practical, business-focused legal guidance.

Position Overview

The attorney will support a variety of transactional matters, including:
  • Drafting, reviewing, and negotiating transaction documents
  • Assisting with mergers, acquisitions, asset purchases, and corporate restructurings
  • Supporting commercial real estate acquisitions, dispositions, leasing, financing, and development transactions
  • Conducting legal due diligence and managing diligence processes
  • Identifying and mitigating legal and business risks associated with complex transactions
  • Collaborating with executive leadership and external advisors regarding transaction strategy and execution
  • Reviewing and advising on corporate governance and contract-related matters as needed
  • Managing multiple projects and deadlines in a fast-paced environment

Candidate Requirements
  • Active California Bar admission in good standing
  • J.D. from an accredited law school
  • At least 5 years of legal experience in a law firm, in-house legal department, or combination thereof
  • Demonstrated experience with M&A transactions and/or transactional commercial real estate matters
  • Strong drafting, negotiation, and due diligence skills
  • Ability to work independently and manage multiple priorities in a remote environment
  • Practical, business-focused approach to legal problem solving
  • Excellent communication and stakeholder management skills
