A PE-backed software business at an exciting inflection point is looking for a Head of Legal to lead their legal function. This is a senior leadership role where you will manage a team of five and provide broad legal oversight across the business, covering commercial law, corporate matters, IP/IT and M&A.

Key Responsibilities:

• Lead, manage and develop a legal team of five, setting the direction and priorities for the function.
\n
• Act as the primary legal adviser to the business across a wide range of commercial and corporate matters.
\n
• Draft, review and negotiate a broad range of commercial contracts and agreements.
\n
• Oversee IP and IT legal matters, including software licensing, data protection and technology agreements.
\n
• Manage corporate governance and housekeeping activities, ensuring documentation is accurate and up to date.
\n
• Lead on M&A workstreams as required, including due diligence and transaction documentation.
\n
• Collaborate with and manage external counsel across multiple jurisdictions.
\n
• Work cross-jurisdictionally, applying strong knowledge of both English and German law frameworks.
\n

Requirements:

\n
• 10+ years of post-qualification experience with a broad commercial legal background.
\n
• Qualified in either England & Wales or Germany.
\n
• Fluent in both German and English — essential.
\n
• Proven people leadership experience with the ability to manage and develop a small legal team.
\n
• Strong commercial contracts experience across a broad range of legal areas including IP/IT and corporate.
\n
• M&A and transactional experience, ideally within a PE-backed or technology environment.
\n
• Strong corporate governance expertise.
\n
