Key Responsibilities

- Taking day-to-day responsibility for transactions, with appropriate partner supervision and direct client contact. \n
- Managing and progressing complex matters efficiently and proactively. \n
- Drafting, reviewing and negotiating a range of corporate transaction documents. \n
- Communicating clearly and effectively, both verbally and in writing. \n
- Identifying inconsistencies and quality issues in transaction documents and related work. \n
- Participating in negotiations with clients, counterparties and other advisers. \n
- Understanding clients’ commercial objectives and helping to deliver practical, cost-effective solutions. \n
- Building and maintaining strong client relationships. \n
- Working collaboratively with colleagues across different practice areas and jurisdictions. \n
- Supporting business development initiatives and contributing to the continued growth of the corporate practice. \n
- Providing commercially focused and technically sound legal advice with integrity and professionalism. \n
About You
\nThe successful candidate is likely to be an Associate or Senior Associate with strong post-qualification experience in corporate transactions within a private practice environment.
\nYou should have:
\n- \n
- Experience across a broad range of corporate matters, including private M&A, private equity and infrastructure transactions. \n
- Strong drafting, analytical and negotiation skills. \n
- Experience preparing and negotiating key transaction documents, including share purchase agreements, disclosure letters, shareholder agreements and joint venture agreements. \n
- Experience leading transactions or managing significant transaction workstreams with direct client involvement. \n
- Experience coordinating multi-disciplinary and multi-jurisdictional teams. \n
- Excellent attention to detail and a high standard of written work. \n
- A commercial and pragmatic approach to advising clients. \n
- Confidence in negotiations and client interactions. \n
- Strong relationship-building skills and the ability to work effectively with colleagues at all levels. \n
- A proactive, self-starting and collaborative mindset. \n
- An interest in developing new skills and broadening technical knowledge beyond core transactional work. \n
- A genuine focus on delivering excellent outcomes for clients. \n
