Paralegal - Fund Structuring

\nWe have a fantastic opportunity for a highly organized and detail-oriented Paralegal to support the Chief Fund Structuring Officer in all legal, fund governance, corporate, and regulatory matters across the firm's private debt platform.
\nThe successful candidate will play a key role in supporting fund launches, fund maintenance, transaction execution, regulatory compliance, and investor-related legal documentation. This position offers significant exposure to fund structuring, alternative investments, and cross-border private debt transactions.
\nPrimary responsibilities will include:
\nFund Structuring & Legal Documentation
\n- \n
- Assist in the establishment, restructuring, and winding up investment funds and related entities. \n
- Coordinate with external legal counsel, fund administrators, depositaries, auditors, and regulatory authorities. \n
- Maintain fund constitutional documents, partnership agreements, offering memoranda, and side letters. \n
- Assist in reviewing, managing, and organizing transaction documentation related to private debt investments. \n
- Coordinate the execution of legal agreements, including NDAs, Engagement letters, Loan agreements, Fund subscription agreement, and other legal documentation. \n
- Manage legal document execution processes and maintain electronic document repositories. \n
- Support closing processes and legal conditions precedent tracking. \n
- Maintain investor side letter trackers and governance obligations. \n
Regulatory & Compliance Support

- Assist with maintenance of compliance policies and procedures. \n
- Support regulatory filings and reporting obligations. \n
- Maintain registers and records required under applicable regulations. \n
- Coordinate regulatory requests and information gathering exercises. \n
Legal Operations
\n- \n
- Maintain legal databases, templates, and document management systems. \n
- Track legal costs and external counsel invoices. \n
- Improve legal and governance processes through standardization and automation initiatives. \n
- Support special projects led by the Chief Fund Structuring Officer. \n
Qualifications
\n- \n
- Bachelor's degree in Law, Legal Studies, Business Law, Corporate Law, or equivalent. \n
- 2-5 years of relevant experience within Asset management, Private debt/private credit, Fund administration and having technical knowledge is a plus \n
- Understanding of: \n
- Alternative Investment Funds \n
- Fund structures (RAIF, SICAV, SCSp, LP structures) \n
- Regulatory filings and compliance processes \n
- Private debt transaction documentation \n
