Corporate Paralegal (Temporary Assignment)
Location: San Diego, CA
Schedule: Onsite
Duration: 3-6 Month Contract
Compensation: $45 - $65/hr; Competitive hourly rate, depending on experience

LHH Recruitment Solutions is partnering with a San Diego-based corporate legal department seeking a Corporate Paralegal for an immediate temporary assignment. This role will support the legal team with corporate governance, contract management, legal operations, compliance, and litigation support. The ideal candidate is highly organized, adaptable, and comfortable managing multiple priorities in a fast-paced environment.

Responsibilities
  • Process, review, code, and organize legal invoices and related documentation.
  • Prepare and maintain corporate governance documents, including resolutions, officer certificates, compliance certificates, and incumbency certificates.
  • Assist with corporate and finance transactions and general corporate legal matters.
  • Manage and maintain the organization's contract management system, including contract entry, tracking, and reporting.
  • Review contracts for key provisions such as term, termination, renewal, and restrictive covenants.
  • Support litigation matters, including discovery responses, subpoena responses, and coordination with outside counsel.
  • Maintain board minutes, organizational documents, and corporate structure records.
  • Prepare, file, and maintain corporate filings and related records.
  • Assist with corporate compliance initiatives and training efforts.
  • Support trademark administration, including filings, renewals, and coordination with outside intellectual property counsel.
  • Collaborate with internal departments including Finance, Tax, Marketing, and other business teams to provide corporate legal support.
Qualifications
  • Bachelor's degree required; Paralegal Certificate preferred.
  • Minimum of 3 years of corporate paralegal experience.
  • Experience with corporate governance, entity management, and contract administration.
  • Familiarity with legal invoice processing and legal operations functions.
  • Exposure to trademark matters is a plus.
  • Experience supporting litigation matters is beneficial.
  • Strong written and verbal communication skills.
  • Excellent organizational skills with the ability to prioritize competing deadlines.
  • Ability to work independently and exercise sound judgment.
  • Comfortable working cross-functionally with stakeholders throughout the organization.
