Legal Counsel
\nReal estate firm
\nLondon (1 day WFH)
\n£85K-£110K + bonus
\nPermanent role
\nThe duties
\nCommercial contracts
\n- \n
- Support the development and operation of contract review processes for the organisation \n
- Support the development and operation of contract signing authorities and processes for the organisation \n
- Ensure commercial contracts are reviewed appropriately (taking into account their value, importance and risk profile) \n
- Ensure any material contractual risks are either mitigated or reported to an appropriate member of the Executive Committee for consideration \n
Governance
\n- \n
- Support the Company Secretary in her role as secretary to the Board \n
- Report to the Board and Executive Committee on relevant legal, regulatory and governance developments, ensuring they remain up-to-date and aware of legal, regulatory or governance matters relevant to the organisation \n
- Ensure statutoryand regulatory filings are completed promptly and necessary records maintained \n
- Provide strategic input and support on the organisation’s ESG initiatives, including membership of operational ESG-related committees as appropriate \n
- Provide key input and drafting in the preparation of the Annual Report, in particular with the governance section, and ensure that all legal requirements are fulfilled \n
Compliance
\n- \n
- Proactively identify initiatives or projects where legal support is likely to be required, and ensure such projects or initiatives are appropriately supported from a legal perspective, sufficiently in advance of deadlines to ensure the business is prepared for future requirements \n
- Provide clear and legal advice to the organisation as required \n
Data Protection
\n- \n
- Support the Company Secretary in their role as Data Protection Officer \n
- Ensure the organisation conducts data privacy impact assessments (DPIAs) and legitimate interest assessments (LIAs) as necessary and appropriate \n
Risk Management
\n- \n
- Play a key role in legal risk management for the organisation \n
- Manage the operational Regulatory Risk Register, including identification, assessment, scoring, mitigation and reporting of legal and regulatory risk \n
- Support the Company Secretary with preparations for Provision 29 of the UK Corporate Governance Code 2024 \n
The Requirements
\n- \n
- England & Wales qualified solicitor \n
- Ideally experience in governance, and commercial contracts \n
